PENDIRIAN PERSEROAN PERORANGAN BERDASARKAN PERATURAN MENTERI HUKUM DAN HAK ASASI MANUSIA NOMOR 21 TAHUN 2021

Abstract

Penelitian karya ilmiah ini membahas mengenai pendirian Perseroan Terbatas dengan didirikan hanya satu orang perseroan setelah disahkannya Peraturan Menteri Hukum Dan Hak Asasi Manusia Nomor 21 Tahun 2021. Pengkajian ini dilakukan dengan metode normatif yang membahas dari segi perundang-undangan dan komparatif. Pendekatan-pendekatan untuk membahas penelitian ini dilakukan dengan pendekatan perundang-undangan dan pendekatan konseptual. Hasil dari penelitan ini adalah perbedaan yang terdapat dalam Perseroan Perorangan dengan Perseroan Terbatas yaitu Perseroan Terbatas didirikan oleh dua orang atau lebih (kecuali BUMN) sedangkan perseroan perorangan didirikan oleh satu orang pendiri sesuai dengan kriteria usaha mikro dan kecil. Pendirian terhadap Perseroan Perorangan berdasarkan Peraturan Menteri Hukum Dan Hak Asasi Manusia Nomor 21 Tahun 2021 yang diatur dalam Pasal 2 ayat (1) huruf b, Pasal 2 ayat (3), Pasal 13, Pasal 14 ayat (1) dan ayat (2), Pasal 15, Pasal 16, Pasal 19, Pasal 20, Pasal 21, Pasal 35 ayat (3) dan ayat (5).

This scientific paper research discusses the establishment of a Limited Liability Company by establishing only one company after the ratification of the Minister of Law and Human Rights Regulation Number 21 of 2021. This study is carried out using a normative methode that discusses from a statutory and comparative perspective. Approaches to discussing this research are carried out with a statutory approach and a conceptual approach. The result of this research is that the difference between an individual and a limited liability company is that a limited liability company is established by two or more people (except BUMN) while an individual company is founded by one founder in accordance with the criteria for micro and small businesses. The establishment of an individual company based on the Regulation of the Minister of Law and Human Rights Number 21 of 2021 which is regulated in Article 2 paragraph (1) letter b, Article 2 paragraph (3), Article 13, Article 14 paragraph (1) and paragraph (2), Article 15, Article 16, Article 19, Article 20, Article 21, Article 35 paragraph (3) and paragraph (5).
