PERANAN DIREKSI INDUK PERUSAHAAN TERHADAP RISIKO BISNIS ANAK PERUSAHAAN PADA HOLDING COMPANY BUMN DI INDONESIA

Abstract

Penelitian ini bertujuan untuk menganalisis hubungan induk dan anak perusahaan pada holding company BUMN di Indonesia serta menganalisis peranan Direksi induk perusahaan terhadap risiko bisnis anak perusahaan pada holding company BUMN di Indonesia. Metode penelitian ini yakni menerapkan jenis penelitian doktrinal dengan jenis penelitian kepustakaan serta menggunakan pendekatan perundang-undangan dan bahan bacaan terkait. Hasil penelitian menunjukkan hubungan entitas induk dan anak perusahaan merupakan separate legal entity, yang berarti induk dan anak perusahaan merupakan badan hukum yang terpisah atau mandiri. Serta Peranan Direksi dalam mengambil keputusan terhadap anak perusahaan, Direksi induk harus memastikan bahwa keputusan yang diambilnya harus sesuai dengan kualifikasinya sebagai pemegang saham dan dilaksanakan sesuai dengan mekanisme pengambilan keputusan pemegang saham yang sesuai dengan peraturan yang berlaku serta prinsip Good Corporate Governance.

This research aims to analyze the relationship between parent and subsidiary companies in state-owned holding companies in Indonesia and analyze the role of the parent company's directors in the business risks of subsidiaries in state-owned holding companies in Indonesia. This research method applies a type of doctrinal research with a type of library research and uses a legislative approach and related reading materials. The research results show that the relationship between the parent entity and the subsidiary is a separate legal entity, which means that the parent and subsidiary are separate or independent legal entities. As well as the role of the Board of Directors in making decisions regarding subsidiaries, the main Board of Directors must ensure that the decisions they take must be by their qualifications as shareholders and are implemented by the shareholder decision-making mechanism by applicable regulations and the principles of Good Corporate Governance.
